Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the PsychiatristAI platform ("Platform"), provided by PsychiatristAI Ltd ("we", "our", or "us"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.
Important: This Platform is intended for use by healthcare professionals within NHS Trusts and other healthcare organizations. If you are a patient, your access is mediated by your healthcare provider.
2. Service Description
PsychiatristAI provides a clinical decision support platform for mental health services, including:
- Digital observation recording and compliance monitoring
- AI-powered clinical document processing and summarization
- Risk assessment tools and dashboards
- Report generation (discharge summaries, tribunal reports, CPA reviews)
- Integration with NHS EHR systems (CareNotes, Rio, FHIR-compliant systems)
- Service-level analytics and governance dashboards
The Platform is designed to support, not replace, clinical judgment. All AI-generated outputs must be reviewed and approved by qualified healthcare professionals before clinical use.
3. User Eligibility and Accounts
3.1 Healthcare Professionals
The Platform is intended for use by registered healthcare professionals (doctors, nurses, pharmacists, allied health professionals) employed or contracted by an authorized NHS Trust or healthcare organization.
3.2 Account Creation
- Accounts are created and managed by your organization's system administrator
- You must provide accurate, current information during registration
- You are responsible for maintaining the confidentiality of your login credentials
- You must not share your account with others or use another person's account
3.3 Multi-Factor Authentication
All users must enable multi-factor authentication (MFA) when prompted for security compliance.
4. Acceptable Use
4.1 You agree to:
- Use the Platform only for lawful clinical care purposes
- Comply with all applicable NHS information governance policies
- Access only patient data necessary for your role (need-to-know basis)
- Log out when leaving your workstation unattended
- Report security incidents or suspected data breaches immediately
- Review and approve all AI-generated content before clinical use
4.2 You agree NOT to:
- Access patient data out of curiosity or for non-clinical reasons
- Share or export patient data outside approved NHS systems
- Attempt to bypass security controls or access restrictions
- Introduce malware, viruses, or other harmful code
- Use automated tools to scrape or extract data in bulk
- Reverse engineer, decompile, or disassemble the Platform
- Rely solely on AI-generated outputs without clinical review
Violation of these terms may result in account suspension, termination, and referral to your organization's disciplinary process and/or professional regulatory body (GMC, NMC, HCPC).
5. Clinical Decision Support & AI
5.1 AI-Generated Content
The Platform uses AI/ML algorithms to:
- Extract structured data from clinical documents (NLP)
- Generate draft clinical summaries and reports
- Identify potential risk factors from observation data
- Suggest medication interactions or contraindications
5.2 Clinical Responsibility
- All AI-generated outputs are suggestions only and require clinical review
- The clinician retains full responsibility for all clinical decisions
- AI outputs should be treated as a "second opinion" to inform, not dictate, care
- Any errors, omissions, or inconsistencies must be corrected before clinical use
5.3 Limitations
The Platform is not a substitute for:
- Clinical examination and assessment
- Professional judgment and expertise
- Multidisciplinary team discussion
- Up-to-date clinical guidelines (NICE, Royal Colleges)
Medical Device Status: PsychiatristAI is classified as a Class I medical device (clinical decision support). CE/UKCA marking is in progress. Use is subject to local clinical governance approval.
6. Data Protection and Confidentiality
You acknowledge and agree that:
- All patient data processed via the Platform is subject to UK GDPR and the common law duty of confidentiality
- You will comply with Caldicott Principles and your organization's information governance policies
- You will not disclose patient information except as required for direct care or permitted by law
- All access to patient data is logged and may be audited

7. Service Availability and Support
7.1 Uptime Target
We aim for 99.9% uptime excluding planned maintenance. Maintenance windows are scheduled during low-usage periods (typically overnight) with advance notice.
7.2 Support
- Technical support: support@psychiatrist.ai
- Priority support for clinical-critical issues (P1): 24/7 via phone/email
- Standard support (P2-P3): Business hours (Monday-Friday, 9am-5pm GMT)
7.3 No Guarantee
While we strive for high availability, we do not guarantee uninterrupted access. The Platform is provided "as is" without warranty of any kind.
8. Intellectual Property
8.1 Platform Ownership
The Platform, including its software, design, algorithms, and documentation, is owned by PsychiatristAI Ltd and protected by copyright, trademark, and other intellectual property laws.
8.2 Clinical Data Ownership
Patient clinical data remains the property of the NHS Trust or healthcare organization. We process this data as a Data Processor under a Data Processing Agreement (DPA).
8.3 Aggregated/Anonymized Data
We may use aggregated, anonymized data for service improvement, research, and product development, subject to compliance with UK GDPR and NHS information governance standards.
9. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for clinical decisions made using the Platform
- We are not liable for errors in AI-generated content that are not corrected by the clinician
- We are not liable for indirect, consequential, or punitive damages
- Our total liability shall not exceed the fees paid by your organization in the 12 months preceding the claim
This limitation does not apply to death or personal injury caused by our negligence, fraud, or other liabilities that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless PsychiatristAI Ltd from any claims, damages, or liabilities arising from:
- Your use of the Platform in violation of these Terms
- Your breach of data protection or confidentiality obligations
- Clinical decisions made without proper review of AI-generated content
- Unauthorized access or use of your account
11. Termination
11.1 By Organization
Your organization may terminate your access at any time by notifying us or deactivating your account.
11.2 By Us
We may suspend or terminate your access if:
- You violate these Terms or applicable laws
- Your organization's contract expires or is terminated
- We detect suspicious or unauthorized activity
11.3 Data Retention Post-Termination
Clinical data will be retained per NHS Records Management Code of Practice and your organization's retention policy. We will securely return or destroy data as instructed.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to your organization's contract administrator at least 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
